Who we are and this agreement
BayThru: Dealership Follow-ups ("BayThru"), published as BayThru by Mahara Labs, is provided by 16276334 Canada Inc., operating as Mahara Labs ("we", "us"), 3136 Mavis Road, Unit 210, Mississauga, ON L5C 1T9, Canada.
These terms are an agreement between us and the dealership that uses BayThru ("the dealership"). Everyone who signs in to a dealership in BayThru also agrees to follow them. If the dealership has signed a separate agreement with us, that agreement wins where it differs from these terms.
Who may use it
- BayThru is for car dealership businesses and their authorised staff, for the dealership's own work.
- A dealership's owner signs it up. The owner and admins add people, and, if the owner allows it, managers invite new staff onto their own team, each by sending the person a personal invite link by email. An invite link is for that one person, stops working once they have set their password, and expires after 14 days.
- Account holders must be at least 16 years old.
- Whoever accepts these terms for a dealership, such as the owner at sign-up, accepts them on its behalf and confirms they are authorised to do so and to add its staff to BayThru.
Accounts and passwords
- Each account is for one person. Do not share your password, or let someone else use your account.
- Sign in with your email address and password. If you cannot sign in, you can get a password reset link by email (valid for 60 minutes), ask which email address you use, or contact us. The owner, or an admin for managers and staff, can also set a temporary password for you: you are signed out on every device and choose your own password the next time you sign in.
- After 10 wrong passwords in a row, the account locks for 15 minutes.
- The dealership is responsible for who it gives accounts to, the roles and reporting lines it sets, and what happens under its accounts. When someone leaves, the owner or an admin should remove them from the dealership promptly. Their open tasks then move to their manager, to a person the owner or admin chooses, or up for grabs, and the account is kept so it can be brought back.
- You can see the devices signed in to your account in Settings › Devices and sign any of them out. Tell us at once at support@maharalabs.com if you think an account has been misused.
Your dealership, its stores and its owner
- Roles. The owner is responsible for billing, can transfer ownership, and is the only one who can delete the dealership or remove an admin. Admins can do everything else the owner can. Managers invite staff onto their team (if the owner allows it), assign work to their team and follow it up, see their team's tasks and history, and can ask the owner to remove someone on their team. A person can also be on another manager's team; that additional manager sees the person's tasks and can assign them work the same way. A manager who heads a department sees and manages every task filed in that department. Staff carry out the work, and see the tasks assigned to them, the tasks they created and the tasks they help on. The owner or an admin can give a staff member "Can assign tasks", so they can give work to staff in the departments chosen for them.
- Requests. To ask someone outside your team, or a department, for something, you send a request. Anyone with "Can send requests" (on by default; the owner and admins can turn it off for a manager or staff member) can send one to anyone in the dealership. The person who receives it works it like any task or declines it with a reason, which the sender sees. A manager who receives one can hand it to someone on their team, and the sender can cancel it until someone starts it.
- Tasks. Each task is assigned to one person. The assignee, their managers, the person who created the task, the owner or an admin can add helpers, who see the task, comment on it and get its updates; only the assignee, the owner or an admin marks it done. Sending a task to several people or a whole department makes one task for each person. Deleting a task needs a reason: the task disappears from lists but stays in the history, and only the owner and admins can still open it.
- Dealer ID. Each dealership has a 9-digit Dealer ID, its account number with us. We use it for support, quotes and invoices, and to verify claims and ownership transfers. It is not a password: it cannot be used to sign in or to join a dealership.
- Email domain. One email domain belongs to one dealership. Someone at the domain can ask to join the dealership; the owner and admins decide. Someone can also claim the dealership: the owner and admins are told and can approve or refuse. Otherwise, ownership is decided by proof on the dealership's website (a DNS record or a file on the site) or by our review.
- Ownership. The owner can transfer ownership to someone else. When ownership changes, the previous owner becomes an admin.
- Stores. A dealership can have several stores (rooftops); we set those up. Signing up in the app covers one store and up to 40 people. For more, use the support form.
Acceptable use and content
When you use BayThru, do not:
- break any law, or post or share anything illegal;
- harass, threaten, bully or discriminate against anyone;
- enter more personal information about customers or colleagues than the work needs, or sensitive details such as full payment card numbers, Social Insurance Numbers or health information;
- upload anything you do not have the right to share, or anything harmful such as malware;
- try to get into another dealership or account, or test, overload or attack our systems;
- copy, resell or give others access to BayThru outside your dealership without our written agreement.
In the app you can report a comment, a chat message or a whole conversation, a file, an announcement or a kudos note, and block a person in one-to-one chat. Reports go to the dealership's owner and admins and to us. The owner and admins can remove reported content.
We may remove content, or suspend an account, a feature or a dealership, that breaks these rules or puts the service or other dealerships at risk, and we will tell the dealership why.
The dealership's data
The dealership owns and controls its content: its tasks, comments, messages, announcements and files, and the details of its team. For that content we act as the dealership's service provider (a processor): it gives us permission to store and process it only as needed to provide BayThru.
The dealership decides what it records about its staff and its customers, and it is responsible for having a lawful reason, and any notice or consent needed, to do so. We handle the data as described in the BayThru privacy policy.
As the employer, the dealership is responsible for its own workplace policies, such as the written electronic monitoring policy Ontario requires of employers with 25 or more employees.
The owner or an admin can download the dealership's data from the app as a file (JSON): its tasks, comments, announcements, kudos, people and departments, a list of its files, and their own chats. It never includes other people's one-to-one chats. The owner, admins and managers can also download the tasks they can see as a spreadsheet (CSV).
The API, MCP endpoint and webhooks
- The owner or an admin can create API keys, connect AI assistants through the MCP endpoint and set up webhooks, so other software can read and update the dealership's BayThru data.
- Keep API keys and webhook secrets private, give each key only the permissions it needs, and revoke keys you no longer use.
- The dealership chooses the software it connects and is responsible for it and for the data it sends there. Its own terms apply to it.
- Usage limits apply. We may revoke a key or switch off a webhook that is misused or puts the service at risk, and we may change the API; where practical we will give notice before a change that breaks existing connections.
Availability
We work to keep BayThru running and to fix problems we are told about, but it is provided "as is" and "as available". We do not promise any particular uptime or response time, and there will be times it is unavailable, for example for maintenance. We may add, change or remove features, and we will tell the dealership before a change that significantly reduces what it can do.
BayThru helps a team keep track of its work. It does not replace the dealership's own responsibility for its customers and its commitments: a reminder that is missed or delayed does not make us responsible for the task.
Free trial and subscriptions
- Free trial. Each dealership gets one free 30-day trial. No card is needed. We keep hashed sign-up details so the same dealership cannot start a second trial. The owner is reminded by email 7, 3 and 1 days before it ends.
- Plans. After the trial, the owner can subscribe in the Android app through Google Play: Team 20 at $99 (CAD in Canada, USD in the United States) a month for up to 20 people, or Team 40 at $140 (CAD or USD) a month for up to 40 people. Google Play shows the final price, with any taxes, before you buy.
- Invoiced plans. A dealership can instead ask us to set up a plan and invoice it, for example for more than 40 people or several stores: use Talk to us in BayThru on the web, or the support form. The price and period are those on our quote and invoice.
- Renewal. A Google Play subscription renews automatically every month until it is cancelled. Cancel at any time in Google Play; it stays active until the end of the month already paid. If a renewal payment fails, the dealership stays open for up to 3 days while Google Play retries it, then locks until the payment is fixed.
- Payment. Subscriptions bought in the app are billed by Google Play (and later the App Store) under their terms; invoiced plans are billed by Mahara Labs. For billing questions, use the support form. Google Play and the Google Play logo are trademarks of Google LLC.
- When a trial or subscription ends, the dealership locks. Its data is kept for 90 days, during which the owner can export it and is reminded by email, and is then deleted.
- Deleting is not cancelling. Deleting an account or the dealership does not cancel a Google Play subscription. Cancel it in Google Play first.
- When ownership changes. A Google Play subscription stays with the Google account that bought it. The new owner subscribes, and the dealership stays open until the period the previous owner paid for ends. The previous owner's subscription renews until they cancel it in Google Play.
Our software
BayThru and its software belong to Mahara Labs. These terms give the dealership and its team the right to use it while the dealership is active; they do not transfer ownership. If you send us suggestions, we may use them without owing you anything.
Ending
The dealership can stop using BayThru at any time: cancel a Google Play subscription in Google Play, or tell us to end an invoiced plan, and the owner can delete the dealership in the app (only the owner can). Anyone else can delete their own account in the app (Settings); the owner transfers ownership first. We may suspend or close a dealership or account that seriously or repeatedly breaks these terms, or where the law requires; we will give notice where we reasonably can.
Before deleting, the owner or an admin can export the dealership's data. A deleted dealership's accounts, content and files are erased; billing records are kept for 7 years as tax law requires. See the account deletion page.
Limits of our responsibility
To the extent the law allows:
- we make no promises about BayThru beyond those in these terms, including that it will be uninterrupted or error-free, or fit for a particular purpose;
- neither of us is liable to the other for indirect or consequential losses, or for lost profits or revenue;
- our total liability for all claims relating to BayThru is limited to the greater of the fees the dealership paid for BayThru in the 12 months before the event that caused the claim, and 100 Canadian dollars.
These limits do not apply to liability that cannot be limited by law, such as for fraud or wilful misconduct.
Changes to these terms
We may update these terms. When we do, we change the date at the top, and for changes that matter we tell each dealership's owner and admins before they take effect. Continuing to use BayThru after that means accepting the new terms.
Governing law
These terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there, and the courts of Ontario have jurisdiction over any dispute about them.
