Who we are and this agreement
These terms are an agreement between you and 16276334 Canada Inc., operating as Mahara Labs ("Mahara Labs", "we", "us"), 3136 Mavis Road, Unit 210, Mississauga, ON L5C 1T9, Canada. Contact: hello@maharalabs.com.
They apply when you use maharalabs.com, any of our products, or the Mahara Labsplatform. By using them, or by clicking to accept, you agree to these terms. If you use them for a business, you confirm you may accept on its behalf, and "you" means that business. If we have signed a separate agreement, proposal or statement of work with you, that document wins where it differs from these terms.
What these terms cover
- Custom work. Software, websites, automation and AI systems we design and build for clients, under a proposal or statement of work.
- Our products. Including Tezline, an AI receptionist that answers calls and messages for a business; Fleetsguard, fleet operations software; and our AI employee app, a private assistant that works for a business through the tools it connects.
- The Mahara Labs platform. The dashboard we and our clients use to run marketing: contacts and leads, messages, automations, content and approvals, and connections to third-party platforms such as Google, YouTube, Meta (Facebook and Instagram), LinkedIn and TikTok.
Where we operate
We serve customers in Canada and the United Arab Emirates. Nothing in these terms takes away rights you have under consumer-protection or privacy law where you live that cannot be excluded by agreement; where such a law applies, these terms apply only as far as it allows.
Accounts
- Accounts are by invitation. Keep your sign-in details to yourself, and turn on two-step verification where we offer it.
- You are responsible for what happens under your account and for the people you invite into your workspace.
- Tell us at once at hello@maharalabs.com if you think someone else has used your account.
- You must be at least 18, or the age of majority where you live, to hold an account.
Acceptable use
You agree not to use our services to:
- break any law, including anti-spam (such as Canada's Anti-Spam Legislation), telemarketing, privacy and consumer-protection laws;
- send messages or make calls to people who have not consented where consent is required, or ignore an unsubscribe or "stop" request;
- publish content that is unlawful, deceptive, defamatory, hateful, or that infringes someone else's rights;
- use another person's likeness or voice without their recorded permission;
- break the terms or policies of a connected platform, or try to get around its limits;
- probe, overload or attack our systems, or access data that isn't yours;
- resell or give others access to the services without our written agreement.
We may remove content or pause features that break these rules, and we will tell you why.
Connecting Google, YouTube, Meta, LinkedIn and TikTok
Some features work by connecting your accounts on other platforms, for example to publish posts, read ad and page results, receive leads from lead forms, or answer messages and comments. When you connect one:
- You sign in on the platform itself and choose what to allow. We never see your password for that platform.
- We use the access only to do what you or your team ask through the platform, and only for the accounts you chose.
- Publishing, campaign launches and budget changes happen only after a person on your side approves them. Ads we create start paused.
- You can disconnect at any time in the platform's Connections page, or remove our app in the platform's own settings. Either stops our access at once.
- The platform's own terms and policies also apply to your use of it, and we follow them in how we use your data. YouTube features use YouTube API Services: by using them you agree to the YouTube Terms of Service, and the Google Privacy Policy applies.
- Platforms change and limit their services. We are not responsible for a platform's outages, decisions, rejections of content or ads, or account restrictions, and we can't guarantee a feature that depends on one.
What we access from each platform, why, how long we keep it and how to remove it is set out in our privacy policy and on our data deletion page.
Your content and your customers' data
You keep ownership of everything you put into our services: your content, your files and your contacts' data. You give us permission to store, process and display it only as needed to provide the services to you.
For personal information about your own customers, you decide why it is collected and how it is used, and we process it on your behalf. You are responsible for having a lawful basis and any consent needed to collect it and to contact those people. We handle it as described in our privacy policy, and we will sign a data processing agreement on request.
AI features
- Some features use AI to draft text, images, video, voice and replies, or to summarize and score calls and messages.
- AI output can be wrong, incomplete or unsuitable. Review it before you rely on it or publish it; content made with AI is held for a person's approval before it is published.
- You are responsible for how you use AI output, including checking facts, claims and rights in it.
- Where a platform or law requires AI-made content or an AI caller to be disclosed, our tools add that disclosure, and you must not remove it.
- We do not use your content or your customers' data to train AI models.
Fees and billing
- Fees are those in your proposal, order or plan. Unless it says otherwise, invoices are due within 30 days, in the currency shown.
- Fees exclude taxes. We add sales taxes (such as GST/HST) where the law requires.
- Usage beyond your plan's allowance (for example messages, calls or AI) is billed as your plan describes.
- Advertising spend is paid by you directly to the ad platform, not to us.
- If an invoice is more than 30 days overdue, we may pause the services after giving you notice.
- Prepaid fees are not refundable except where your agreement or the law says otherwise.
Intellectual property
Our products, the platform, our software and our know-how belong to us or our licensors. These terms give you the right to use them while your account or agreement is active; they do not transfer ownership.
For custom work, ownership of the deliverables is set out in your statement of work. If it says nothing, you own the deliverables made specifically for you once they are paid for in full, and we keep our pre-existing tools, libraries and general know-how, with a licence for you to use what is built into your deliverables.
Confidentiality
Each of us will keep the other's non-public business information confidential and use it only for our work together, except where the law requires disclosure.
Disclaimer
We work carefully and fix problems we are told about, but the services are provided "as is" and "as available". To the extent the law allows, we make no other promises, express or implied, including that the services will be uninterrupted or error-free, that they will meet every need, or about merchantability or fitness for a particular purpose.
Limitation of liability
To the extent the law allows:
- neither of us is liable for indirect, incidental, special or consequential losses, or for lost profits, revenue or data;
- our total liability for all claims relating to the services is limited to the fees you paid us in the 12 months before the event that caused the claim.
These limits don't apply to liability that cannot be limited by law, such as for fraud or wilful misconduct.
Responsibility for your use
If someone makes a claim against us because of content you supplied, messages you sent or calls you made through the services, or your breach of these terms or of the law, you will cover our reasonable losses and costs from that claim.
Ending the agreement
You can stop using the services at any time, subject to any minimum term in your agreement. We may suspend or close an account that seriously or repeatedly breaks these terms, or where the law requires, and we will give notice where we reasonably can.
When an account closes, you can ask for an export of your data within 30 days. After that we delete it, except what we must keep by law, as described in our privacy policy. Sections that by their nature should continue (such as fees owed, intellectual property, disclaimers and limits of liability) continue after the agreement ends.
Changes to these terms
We may update these terms. We change the date at the top when we do, and for changes that matter we tell account holders by email at least 30 days before they take effect. If you keep using the services after that, the new terms apply.
Governing law
These terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there. The courts of Ontario have jurisdiction over any dispute, except that consumers may also use the courts and laws where they live when that law gives them that right.
